This course is for practitioners wanting an understanding of how the law on financial assistance remains relevant in corporate transactions.

OBJECTIVES

This is an updating course covering the impact of the changes to the law on financial assistance made by the Companies Act 2006.

The Companies Act 2006 abolished the statutory rules on financial assistance for private companies. This course considers what the position is now for private companies undertaking transactions which would formerly have involved unlawful financial assistance. It also covers the circumstances where the financial assistance rules remain relevant for private companies and financial assistance for public companies.

Part 1. The law

• Overview of the Companies Act 1985 and 2006 provisions on financial assistance.
• What has changed?
• When does the Companies Act 1985 remain relevant.

Part 2. Private companies

• When the financial assistance provisions in the Companies Act 2006 are relevant.
• What action needs to be taken by private companies in relation to matters which would previously have been financial assistance.

Part 3. Public companies

• Transactions involving public companies and issues commonly arising.
• How public companies can avoid unlawful financial assistance.
