This course reviews the amendments companies should make to their articles of association as a result of the Companies Act 2006.

OBJECTIVES

Now that the Companies Act 2006 is fully in force companies should consider whether to amend their articles to comply with the new Act. This course covers whether companies should adopt the new Model articles under the Companies Act 2006, what modifications should be made to the Model articles and what provisions should be adopted in the articles of association of public and private companies.

CONTENTS

Part 1. Changes to be considered by all companies

Company names.
Abolition of the objects clause and the action which companies should take as a result.
Allotment of shares and authorised share capital.
New provisions for entrenching rights in the articles.
Directors and conflicts of interest.

Part 2. The new Model Articles .

The new Model articles and whether they should be adopted.
Amendments which should be made to the Model articles.
The relevance of previous versions of Table A.
The process to be used when adopting or amending articles and the documents which must be filed at Companies House.

Part 3. Public and private companies

Deregulation for private companies including abolition of the requirement to have a company secretary and hold AGMs.
Changes to the written resolution procedure.
Matters to be considered by public companies.
