This course provides an overview of the more important changes under the Companies Act 2006 and their practical implications in relation to the formation of companies and their ongoing administration.

OBJECTIVES

This is an updating course covering the significant changes made by the Companies Act 2006 in relation to the formation and administration of companies. It includes a consideration of the new procedure for company formation. The Companies Act 2006 also introduces deregulation with the aim of making administration simpler for private companies, including new Model Articles.

Part 1. Constitution of companies

The new process for company formation.
Company names.
Abolition of the objects clause and the action which companies should take as a result.
New provisions for entrenching rights in the articles.

Part 2. The new Model Articles .

Articles of private companies.
Articles of public companies.
Whether to use the new Model articles and what amendments should be made.
What changes should be made to the articles of existing companies.

Part 3. Private companies

Deregulation for private companies including abolition of the requirement to have a company secretary and hold AGMs.
Changes to the written resolution procedure.
Notice of meetings.
