PART 1. Restructuring options

• Reasons for restructuring.
• The different structures including schemes of arrangement under the Companies Act and section 110 schemes under the Insolvency Act.
• Inter-action with insolvency procedures.
• When Companies Act and court procedures for reductions of capital could be useful.

Part 2. Other issues arising

• Directors duties.
• Insolvency remedies including wrongful trading.
• Valuation, transactions at an undervalue and financial assistance.
• Issues for listed companies.
