An introductory course concentrating on the drafting and negotiation of the warranties and disclosures relating to the acquisition of a private company.

OBJECTIVES

One of the main issues relating to a private company acquisition is the drafting of appropriate warranties, negotiating the qualifications to the warranties and drafting the disclosures. This course will enable participants to understand the key legal provisions and the main negotiating points from the different perspectives of the buyer and seller. I

COURSE OUTLINE

Part 1. Indemnities and warranties

Drafting of the warranties: what should be included.
Drafting of the tax and other indemnities.
Commenting on the warranties on behalf of the seller and drafting limitations on the warranties.
Key negotiating points and what is a reasonable compromise.

Part 2. Disclosures

The purpose of the disclosures and limits on the disclosures.
The drafting of disclosures.
General and specific disclosures and what should be included.
Negotiating points for the seller and purchaser.
