The purpose(s) of due diligence.
The potential liabilities arising from disclosure.
What questions should be asked.
What areas should be reviewed.
The different perspectives of the seller and buyer.

Part 2. the process

Co-ordinating the process and the different parties involved.
Organising documents.
Making sure all areas are covered.
Some common areas of difficulty.

Part 3. the due diligence report

Drafting the report.
Limitations.
Communicating the results of due diligence.
