An intermediate course which will be of benefit to those with basic experience in corporate law.

The course covers Companies Act procedures relating to the creation of different classes of shares, purchase of own shares and reductions of capital. It includes changes made by the Companies Act 2006.

OBJECTIVES

This course aims to make practitioners aware of tricky points that even the experienced might otherwise overlook. Participants should be able to advise on the drafting of rights of different classes of shares and be able to identify when there is a variation of class rights.

COURSE OUTLINE

Part 1. Creation and allotment of shares

Authorities for the creation of shares.
Pre-emption rights.
Other restrictions relating to allotment by public companies.
Changes made by the Companies Act 2006, the transitional provisions and action needed by companies incorporated under earlier Companies Acts

Part 2. Redeemable, preference and convertible shares

The implications of issuing different classes of shares and the technical points to be aware of in creating redeemable, preference and convertible shares.
The relevant resolutions required for the creation and allotment of redeemable, preference and convertible shares.
When a consent for the variation of class rights is needed.
Redeemable shares, restrictions on redemption and failure to redeem.
Preference shares, cumulative and non cumulative dividends and capital and voting rights.
Convertible shares, protection against dilution and methods of conversion.
Changes made by the Companies Act 2006.
